Terms and Conditions for Exhibitions |
- General
- The Organiser is SQS Group Ltd

The Organiser uses the event area based on its rent contract with the owner of the event area.
- Each registration is subject to the General Terms and Conditions for Exhibitions of SQS Group Ltd (SQS) as well the terms and conditions of the landlord of the event area. The latter are available from SQS upon request.
- Registration
- The registration form of the Organiser is to be used for
registration. The form is to be filled out carefully and with a legally binding
signature.
- The Exhibitor accepts with his signature on the registration
form the General Terms and Conditions for Exhibitors as binding. He is also responsible
that all persons employed by him at the event abide by the entire contract.
- The exclusion of competitors can neither be applied for
from, nor granted by, the Organiser.
- The Organiser will attempt to consider the Exhibitor's
wishes regarding booth location as far as possible. The Organiser cannot give
any such guarantees and neither side can raise claims for compensation.
- If registration occurs after the due date for programme
printing, certain services contained in the package may no longer be able to be
delivered. The Organiser will supply detailed information concerning the affected
services upon request.
- Contract
- Basic elements of this contract are
a) the registration
b) the terms and conditions of the landlord of the event area
c) the regulations contained in the information brochure for sponsors and exhibitors
d) the General Terms and Conditions for Exhibitions
In case of conflict, the regulations are valid in the order given above.
- Cancellation, non-participation by Exhibitor
- The stand rent is still due in the full amount, if the Exhibitor cancels his participation or does not participate without previous notice. If the Exhibitor cancels his participation and the Organiser succeeds in renting the booth to someone else, the Organiser retains a claim against the first renter amounting to 25% of the invoiced stand rent. The entire stand rent is to be paid if the Organiser rents out the stand further but the total rented area is reduced by the cancellation/non-participation.
The Exhibitor can furnish proof that the Organiser did not incur costs in this amount. The Organiser retains the right to assert further claims.
- a) The Organiser is entitled to terminate the contract if the stand rent is not paid in full by the deadline stated in the invoice and the Exhibitor has not paid upon expiration of a period of grace granted by the Organiser. In the case described above, the Organiser can assert claims for compensation. Clause 3.2 of this contract applies correspondingly.
b) The Organiser is entitled to terminate the contract up to 30 days before the begining of the contract if the event is no longer of interest to the Organiser due to a foreseeable low level of attendance. A foreseeable low level of attendance is given if the minimum number of exhibitors and visitors for the event set by the Organiser is not reached. The minimum number of exhibitors and visitors for an event will be conveyed to the Exhibitor by the Organiser upon request. All payments made by the Exhibitor up to this point in time will be refunded. The Exhibitor cannot raise further claims for compensation against the Organiser.
- Terms of Payment
- Due Date
50% of the exhibition charges are due no later than 14 days after receipt of the invoice. The remaining 50% of the exhibition charges are due no later than 6 weeks prior to the beginning of the event. If the invoice is issued after 6 weeks prior to the beginning of the event, then the entire amount is due immediately, at the latest within 14 days, and in either case no later than the beginning of the exhibition. Payments are to be transferred to the SQS account named on the invoice with indication of the invoice number. An invoice for all additional charges (e.g. for additional equipment, furniture, Internet connections etc.) will be issued immediately upon completion of the event. The amounts are due upon receipt of the invoice.
- Reclamation
Any reclamation concerning the invoice can only be considered if received in written form by SQS within 14 days of the issuing of the invoice.
- Late Payment
Interest of 2% above the Bank of England base rate are due on late payments
- Liability
- The Organiser is liable - regardless of the legal ground - only in case of intention, gross negligence, the granting of a guarantee or the breach of a basic contractual obligation (cardinal obligation). In the case of the breach of a cardinal obligation and in the case of the granting of a guarantee, the claim for damages is restricted to such foreseeable damages whose occurrence is to be prevented by the cardinal obligation or guarantee. The above does not apply to damages arising from damages to life, body or health.
- The Organiser will be in charge of security for the event
area without liability for loss and damage. Valuable items as well as easily removed
objects should be locked away at night.
- Exhibitor's insurance is recommended.
- Stand Construction
- Configuration and construction of the individual stands are to be conducted in such a way that adjoining exhibitors are not encumbered by exhibits, advertising space or display objects.
- The predetermined booth boundaries are to be adhered to.
The maximum height of 2.5 m may only be exceeded with explicit approval of the
Organiser.
The width of the booth walls is not to exceed 1 m.
- All materials used in stand construction must be flame
retardant and meet all conditions of the fire prevention ordinances.
- The Exhibitor is obligated to request information in due
time from the Organiser about the constructional characteristics of the rented
booth space (pillars, fire prevention equipment etc.).
- The Organiser is entitled, in the case of violations against
the construction regulations, to demand the necessary changes and if necessary
the removal of the booth. If the Exhibitor does not obey the demands of the Organiser,
the Organiser can arrange for the removal of the stand at the Exhibitor's expense.
If a stand is closed, the Exhibitor must pay the entire rent as well as all resulting
costs.
- The Organiser will inform the Exhibitor in due time and
in writing of when the stand can be constructed.
- Stands must be entirely finished by time advised by the Organiser on the appointed exhibition construction day so that a technical approval as well as cleaning is possible before the exhibition begins. Stand spaces that are not used on the exhibition construction day will be allocated otherwise by moving another exhibitor into the stand space or by filling or decorating it in another way. In such cases, the Exhibitor must still pay the entire booth rent and bear all costs which arise. In addition, all costs caused by the decoration or filling of the stand space not used must be borne by the Exhibitor. The Exhibitor cannot raise any claims for damages.
- Stand Dismantling
- No stand can be partially or fully vacated before the
end of the conference.
- The stand space must be vacated in its original condition. All adhesive tape is to be removed without damage to surfaces. Otherwise, the Organiser is entitled to have the work carried out at the Exhibitor's expense. The Organiser reserves his right for further claims for damages. The Exhibitor is also liable for any damages to the wall flooring or to rented or borrowed materials.
- The Exhibitor must adhere to the times designated for dismantling the stand. Upon expiration of this timeframe, the Organiser is entitled to have the stand materials and objects dismantled, removed and stored at the Exhibitor's expense. The Organiser will assume liability for loss of or damage to stand objects only in the case of intention or gross negligence. The Organiser is entitled to a lien for all costs which arise.
- Exhibitor Passes
The Exhibitor will receive exhibitor passes for the persons employed at his stand for the duration of the exhibition. An exhibitor pass also entitles its holder to free admission. Further information is contained in the information brochure for sponsors and exhibitors.

Photos, Video and Audio Recordings
The Organiser is entitled to make photos, drawings and video and audio recordings of the exhibition event, the stands and exhibition objects, and to use these materials for purposes of advertising and press releases, without the Exhibitor raising any objections. This also applies to photos or recordings which are produced by the press or by television with the consent of the Organiser.
- Advertising
- Scope
Advertising is allowed only within the confines of the Exhibitor's rented stand space and only for the Exhibitor's own company and products produced or sold by it.
- Requirement of Consent
Loudspeaker advertising, cinema shows and live shows require the written consent of the Organiser. The same applies to the use of other devices and equipment with the purpose of increasing the advertising effect in an optical or acoustic manner. Political advertising is not allowed.

Health and Safety Regulatory
The Exhibitor is bound to comply with all the Health and Safety regulations of the owner of the event area.

Technical Installations
Electrical power, telephone service and other services within the exhibition area will be supplied by companies authorised by the Organiser.
- Cleaning
- The Organiser will arrange for the general cleaning of
the event premises and hallways. The Exhibitor is responsible for cleaning his
stand area.
- The Exhibitor or the company commissioned by him to construct
the booth is responsible for the removal of all refuse caused by him.
- Concluding Provisions
- Changes
Amendments or supplements to the contractual agreement (3.i) are legally binding
only if confirmed by the Organiser in writing.
- English Law
The present contract shall be governed by English law.
- Place of Jurisdiction
Place of jurisdiction for all disputes associated with the present contract shall be London.
- Statute of Limitations
Claims of the Exhibitor against the Organiser lapse after 12 months if not governed otherwise by law. The lapse of time begins with the end of the month in which the final day of the exhibition lies.
- Safeguarding Provision
If any of the provisions of the present contract prove to be or become invalid, this shall not affect the validity of the remainder. In place of the invalid provisions, The Organiser and the Exhibitor shall agree upon a ruling which meets the intended purpose of the present contract as closely as possible.
